Yaroslav Kulik and Arthur Zurabyan will be speakers at the Seventh Annual Conference of the IBA on “Mergers and Acquisitions in Russia and the CIS countries”

On 12 November 2015, the Committee on Corporate Law, Mergers, and Acquisitions as well as the European Regional Forum of the International Bar Association (IBA) will organize a conference in Moscow.

Leading economics and legal experts, from around the world, will gather for the seventh time to discuss the latest trends in the mergers and acquisitions market in Russia and the CIS.

The agenda includes the most urgent issues currently associated with transactions in mergers and acquisitions:

  • Macroeconomic trends in mergers and acquisitions
  • The reform of civil legislation: new rules for M&A transactions
  • International mergers and acquisitions: the myths, reality, and execution
  • Transactions with distressed assets in the Russian market
  • Disputes involving mergers and acquisitions

Corporate lawyers, attorneys in private practice, financial specialists, and other experts in the field of mergers and acquisitions will take part in the conference.

Yaroslav Kulik, a partner and the head of the Antitrust Practice of the ART DE LEX law firm, will deliver a report at the session titled “International mergers and acquisitions: the myths, reality, and execution.”

During this session, leading Russian and international experts will consider the realities of the M&A market in Russia and the CIS. The discussion will include the impact of sanctions as well as laws regarding foreign deoffshorization and regulation on the structuring of transactions. Another issue the participants will consider is financing for M&A transactions, based on current market conditions. CTC Media and Schlumberger will serve as case studies that deal with problematic assets and antitrust problems.

Mikhail Kazantsev, a partner in law firm of Egorov, Puginsky, Afanasiev & Partners, and Oxana Balayan, the managing partner of Hogan Lovells, will moderate the session.

A number of noted individuals will attend the session: Dominique Sanders, a partner at Linklaters; Maxim Bobin, the director of legal affairs at CTC Media; Pavel Vlasov, the senior managing director and the head of mergers and acquisitions at Sberbank of Russia; Olga Pascin, the senior vice president and general manager of Discovery Networks in Northeast Europe and the general director of Media Alliance; and Bradley Rolston, the senior vice president and deputy head of the legal department of Dow Jones & Company.

Arthur Zurabyan, the head of the Dispute Resolution Practice of the ART DE LEX law firm, will deliver a report at the session titled “Dispute Resolution.”

The session will focus on such topics as the responsibility of shareholders and directors, in light of recent changes in the Civil Code of the Russian Federation, the approach of Russian and foreign entities to the liability of directors and shareholders in connection with their companies’ debts; the practical problems arising when insuring such risks; and the development of rules and regulations related to shareholder disputes.

Vladimir Hvaley, a partner of Baker & McKenzie and president of the Russian Arbitration Association, as well as Rabbi Sitnikov, a partner at Hannes Snellman Attorneys Ltd, will moderate the session.

Attending the session will be Alyona Kucher, a partner at Debevoise and Plimpton; Peter B. Maggs, professor of law at the University of Illinois at Urbana-Champaign; Anton Kaziev, the head of Financial Institutions Insurance, Ingosstrakh; and Dmitry Timofeev, the legal and corporate affairs director at Rosvodokanal.
