Two entrepreneurs followed the advice of their lawyer, who offered them a new corporate governance scheme via the parent company. However, the shares, the intermediate owner of which was the consultant’s son, eventually became the property of the lawyer himself, and the original agreement seemed to have been forgotten. The corporate dispute went all the way up to the Supreme Court, which went into details of double selling of shares and the correct method of defence in such disputes.


According to Artur Zurabyan, Art de Lex Partner, the main dispute in this case was not the fact of double selling of the shares ipse facto, but violation of the corporate control agreements.
